CPC Changeover - June 11th, 2010

The board of directors or ERM has voted on terminating the PenFold CPC agreement. There are several options which the board is considering. Details to follow.

PENFOLD CAPITAL ACQUISITION II CORPORATION ANNOUNCES MERGER TRANSACTION WITH EAGLERIDGE MINERALS LTD
March 23, 2010: Toronto, Ontario – Penfold Capital Acquisition II Corporation (TSXV – PAC.P), a capital pool company ("Penfold" or the "Company"), is pleased to announce that it has entered into an arm's length binding letter agreement (the "Agreement") dated March 22, 2010 with EagleRidge Minerals Ltd. ("EagleRidge"), pursuant to which Penfold will, subject to a number of conditions, acquire all of the issued and outstanding securities of EagleRidge. The transaction will constitute the Company's qualifying transaction (the "Qualifying Transaction") under the policies of the TSX Venture Exchange (the "Exchange"). Following completion of the Qualifying Transaction, it is anticipated that the resulting issuer (the "Resulting Issuer") will be a Tier 2 mining exploration company

EagleRidge Minerals Acquires REE/Lithium Pegmatite Field in Southeast Manitoba
EagleRidge Minerals Ltd. (.ERM" or the "Company") is pleased to announce that it has signed an option agreement with Mustang Minerals Corp.(TSX Venture: MUM) to earn a 100%  interest in a pegmatite project. The option agreerhent covers 20 contiguous claims (4547 hectares) in the Greer Lake area, in southeast Manitoba. The property has potential for significant rare earth element (REE) and lithium (Li) mineralization.

EagleRidge Minerals Announces New Area of Gold Mineralization in the Rice Lake Greenstone Belt
EagleRidge Minerals Ltd. ('ERM' or the "Company") announces that it has received all its Hannes Project in the Rice Lake greenstone belt of southeast Manitoba.Limited surface samples taken as part of routine mapping on the northeast part of the Hannes claim block has returned assays up to 6.1 g/t.

EagleRidge Minerals Reaches Settlement with Staker Equities
EagleRidge Minerals Ltd. (EagleRidge) is pleased to announce that it has entered into an agreement with Staker Equities Ltd. and its president Ken Baird, which will terminate all outstanding legal proceedings between the parties. All the parties have agreed to dismiss their legal actions as of September 15, 2009.

EagleRidge Minerals Ltd (ERM) is pleased to announce that field exploration crews have been mobilized from the Manitoba sites
to the Newfoundland project sites. Field exploration work was performed on the Baie Verte area. The crews are now working on
the St. Julien’s exploration project. Both project areas offer great opportunity for the discovery of gold and base metals mineralization
